Terms of Service — Dossiera

1. Acceptance
By creating an account or using Dossiera (the "Service"), operated by M2atech Solutions Inc. ("M2atech", "we", "us"), a New Brunswick, Canada company, you accept these terms. If you accept on behalf of a firm, you represent that you are authorized to bind it.
2. Description of the Service
Dossiera is a document and accounting management platform that lets you, among other things, upload documents (invoices, receipts, statements), extract data from them via OCR/AI, review them, and send them to a connected accounting software (e.g. QuickBooks Online). Extraction results are suggestive and must be reviewed and validated by the user before any accounting use. Dossiera does not provide accounting, tax or legal advice.
3. Accounts and security
- You must provide accurate information and keep your credentials confidential.
- You are responsible for the activity on your account and for managing your team's and clients' access.
- Multi-factor authentication (MFA) may be required for certain roles.
- You must be of the age of majority and have the capacity to contract.
4. Free trial and subscriptions
- We may offer a free trial (e.g. 14 days), no credit card required. On expiry, the account may be suspended if no plan is subscribed; no amount is charged without your consent.
- Plans, prices (in Canadian dollars) and limits are described at [dossiera.ca/pricing] or communicated at subscription time. We may change prices with reasonable notice.
- Subscription billing: paid plans are billed in advance, per cycle (monthly or annual as you choose), through a third-party payment provider that processes your card. By subscribing to a paid plan, you authorize the recurring charge of the corresponding amount until cancellation.
- Taxes: prices are in Canadian dollars (CAD), exclusive of taxes; applicable sales taxes (GST/HST depending on your province) are added where required.
- Renewal and cancellation: the subscription renews automatically each cycle. You may cancel at any time; cancellation takes effect at the end of the current cycle. Amounts already paid are non-refundable on a pro-rata basis for a started cycle, except where mandatory law requires otherwise.
- Payment failure: if a payment fails, we may suspend access after reasonable notice; your data is retained in accordance with the Privacy Policy for the applicable period.
- Appointment payments (if you enable this feature): when you collect amounts from your own clients for paid appointments, you — the firm — are the merchant of record; M2atech acts solely as a technical facilitator through the payment provider (Stripe, direct charges on your connected account). Accordingly: (a) you bear refunds, made net of the processing fees actually retained by the provider; (b) you bear liability for disputes and chargebacks and the corresponding amounts; (c) any applicable platform commission is disclosed to you before activation (it may be zero). The detailed terms of these payments are governed by the Paid Appointment Terms, which are presented to you and which you accept before enabling the feature.
5. Acceptable use
You agree not to: break the law; upload illegal or malicious content (malware) or content for which you do not hold the rights; attempt to access others' systems or data without authorization; circumvent security measures or quotas; resell the Service without authorization; or misuse it in a way that harms the Service or others.
6. Your data and your content
- You (and your clients) retain ownership of your documents and data.
- You grant us a limited license to host and process this content only to provide the Service, in accordance with our Privacy Policy.
- You are responsible for the legality of what you upload and for holding the required consents (in particular for your own clients' information).
- The processing of personal information is governed by the Privacy Policy, which forms an integral part of these terms.
7. Third-party integrations (including QuickBooks)
The Service may connect to third-party services (e.g. QuickBooks Online / Intuit). Your use of those services is governed by their own terms. We are not responsible for third-party services. You authorize us to exchange with those services the necessary data you approve (e.g. sending transactions to your QuickBooks file).
8. Availability and changes
We strive to keep the Service available but do not guarantee uninterrupted operation. We may modify, suspend or discontinue features, with reasonable notice where significant.
9. Intellectual property
The Service, its software, brand and content (other than your content) belong to M2atech or its licensors. No rights are transferred to you beyond the license to use granted here.
10. Accuracy and the user's role
OCR/AI extractions may contain errors. You are responsible for verifying the data before approving it or sending it to your accounting software. Dossiera is an assistance tool; accounting and tax decisions rest with you and/or your professional.
11. Disclaimer of warranties
To the extent permitted by law, the Service is provided "as is" and "as available", without warranty of any kind (merchantability, fitness for a particular purpose, accuracy). [Adjust based on applicable law — some statutory warranties cannot be excluded.]
12. Limitation of liability
To the extent permitted by law, M2atech shall not be liable for indirect, incidental or consequential damages (loss of profits, data, etc.). 13. Indemnification
You agree to indemnify M2atech against claims arising from your use of the Service in breach of these terms or the law. [To be validated.]
14. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate an account for breach of these terms, misuse, or legal obligation. On termination, you may request the export or deletion of your data in accordance with the Privacy Policy.
15. Governing law
These terms are governed by the laws of the Province of New Brunswick and the applicable laws of Canada. Any dispute will be submitted to the competent courts of [SPECIFY]. [To be validated.]
16. Changes to the terms
We may amend these terms. For a significant change, we will notify you. Continued use of the Service constitutes acceptance of the updated terms.
